General Terms

All orders placed with Canpromos d.b.a USB Canada or its affiliates or subsidiaries (hereinafter referred to as “USB Canada Websites”) are subject to, without modification, the terms, conditions, and notices contained herein. Additionally, the USB Canada Websites, or any publications of the USB Canada Websites, may contain additional terms that govern particular features or offers.

Your use of this site shall be governed in all respects by the laws of the province of Quebec, Canada without regard to choice of law provisions, for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to ordering from or the purchase of USB Canada products) shall be in the provincial or federal courts located in Quebec. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of USB Canada) must be commenced within one (1) year after the claim or cause of action arises. USB Canada failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. USB Canada may assign its rights and duties under this Agreement to any party at any time without notice to you.

These terms and conditions, together with a USB Canada invoice regarding the products ordered by the Customer, are the complete and exclusive agreement between USB Canada and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between USB Canada and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.

Artwork

Certain colours may look different when printed on surfaces other than paper, for example metal, wood, rubber or plastic. It is encouraged that the client submit a vector graphic in one of the following forms: AI, EPS, PS. Specialty fonts must be outlines or the font files themselves must be included with the vector file, otherwise USB Canada reserves the right to substitute fonts. Please review and carefully check all digital / physical proofs. Digital proofs are not intended to verify colour correctness as colours may vary based on screen view. Digital proofs should be used to assure correct size, scale, positioning, spelling, etc of the artwork on the product. In the event precise colour matching is critical a physical proof is recommended. Clients may also obtain PMS colour swatches from PANTONE’s website. Physical proofs will accurately represent how the colour will appear on the final product, colour may vary slightly on the final production run. If the client requests additional changes and/or proof the order may be delayed and fees may apply. If the client delays in approving the proof the order delivery date may be affected, please contact customer service immediately to have your order expedited.

Data Files

It is the customer’s responsibility to check all files and folders uploaded to our site for data corruption, or errors that may have occurred in the transfer process. We cannot accept any responsibility for errors or data corruption during the file transfer process. Once files are delivered to us, our sole responsibility is to confirm the number of files or folders, file types, and overall size of data upload as per customer’s instruction.

Approval

Please note that your order will be delayed if you have failed to provide all necessary materials (digital content, artwork, deposit, or purchase order, etc.) Day zero begins when we have all client materials and approvals. USB Canada reserves the right to refuse any order. All digital content, artwork, photos, etc. supplied to USB Canada by the client remain the property of the client. USB Canada will treat the client’s materials with the utmost care and attention. Standard 5% over/under runs of printed materials will be kept by USBC to be used as proof of work.

Payment

USB Canada accepts credit cards, wire / money transfers, and purchase orders from approved companies. Orders will not be placed into production until payment is received in full or a valid purchase order is received. Credit card billing and shipping must match or the alternate shipping address must be on file with the credit card company otherwise the order may be delayed. All past-due accounts placed into collection are responsible for all associated fees and 1.5% interest compounded monthly on the balance.

Price

All quoted prices are subject to change without notice. To secure pricing a valid form of payment and approval of the final invoice must be given, at which time no items may be removed from the order. USB Canada will price match any competitor pricing provided a valid quote is presented and the competitor quote is not below USB Canada’s cost. Additional fees may apply to artwork after order approval depending on final colour count, position, size, etc of the artwork.

Shipping

USB Canada includes UPS Ground shipping service or Fedex on all custom order shipments, all other delivery methods will be billed as a line item to the invoice. USB Canada will not be responsible for delays in order delivery made by any shipping provider. is not responsible for storage of any printed materials. Quoted or acknowledged delivery dates are only estimated dates of delivery. USB Canada specifically disclaims liability for delays in delivery and any resulting consequential damage or losses. You agree to pay for all charges associated with package interceptions and destination charges.

Cancellations / Changes

Once an order is placed into production, it cannot be canceled or returned. Orders in progress cannot in any case be canceled. All orders that are being printed or otherwise customized cannot be canceled or refunded once they are in production. If the client requests additional changes to the order and/or proof, the order may be delayed and fees may apply. Any change requests made after 48 hours of confirming your order will not be possible. Finally, any cancellation requests after the order has been entered into production are non-returnable for credit or for a refund.

Returns / Refunds

USB Canada offers a limited replacement warranty on defective or non-functioning units and will replace any product that is deemed defective. No merchandise may be returned to USB Canada without prior return authorization. USB Canada limits liability to rerun or refund, at our sole option, on the services performed and product delivered, provided that the product is deemed defective by reason of workmanship or materials. USB Canada disclaims all liability for any consequential damage or losses, under any theory, for defects in material or workmanship. Reruns or refunds will be prorated based on the quantity of goods returned to USB Canada. No product is replaced, or credit given, more than thirty (30) days after the client’s receipt of the product.

Confirmation with your account manager is required for ALL returns/refunds within 14 business days of receiving your order. USB Canada will not issue refunds for any custom products or service if the job is produced according to the client’s artwork and specifications.

Indemnification

You agree to indemnify, defend, and hold harmless USB Canada its affiliates, subsidiaries, its officers, directors, employees, agents, licensors and suppliers (collectively the “Service Providers”) from and against all losses, expenses, damages and costs, including reasonable lawyers’ fees, resulting but not limited to the use and distribution of any products or services purchased.

Limitation of Liability

USB Canada shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if USB Canada has been advised of the possibility of such damages.
